Practical guide

How to set up a company in Saudi Arabia as a foreign investor

Below is the route and the figures from official sources: the Ministry of Investment (MISA), the Ministry of Commerce and the Saudi Business Center platform. Nothing here is market hearsay — every statement can be checked against the links at the end of the page.

Checked against sources: 24 September 2026

What the MISA investment licence is and who needs it

A foreign company cannot simply register a legal entity in the Kingdom — registration with the Ministry of Investment (MISA) comes first. MISA issues registration for legal entities, foreign companies and holders of Premium Residency.

Activities fall into two tracks: available and restricted. Which track your activity falls into shapes the entire route, so it has to be settled before filing, not after.

Premium Residency holders are exempt from submitting the commercial registration and financial statements.

Can a foreigner own 100 percent of the company

It depends on the licence type, and this is the fork that shapes the whole route. The Ministry of Investment states a general principle of ownership freedom for foreigners and locals, but specific licence categories carry explicit Saudi-participation requirements.

A professional licence requires a Saudi shareholder of at least 25 percent, as set out in the Ministry of Investment terms and conditions.

The same document lists a separate category — management of construction projects, detailed engineering design and EPC contracts — also at 25 percent Saudi participation.

For the Ministry of Commerce service of establishing a company under an investment licence, professional companies additionally require licensed Saudi partners of at least 25 percent and licensed partners overall of at least 70 percent.

What matters is that this requirement attaches to a specific licence category, not to foreign ownership as such. The fact that a professional licence requires a Saudi shareholder does not mean full foreign ownership in the Kingdom is impossible: the conditions follow from the declared activity and from who is applying — an individual, or a company with a documented track record and financial statements.

The practical conclusion: the entry route is decided before filing, from the activity mix and the applicant profile. Whoever registers first and checks the conditions afterwards pays to change the licence and loses months. Working it out takes one conversation and is done against documents, not against a general rule found online.

What documents a foreign company must provide

A copy of the foreign entity's commercial registration, authenticated by the Saudi Embassy.

Financial statements for the last fiscal year, also authenticated by the Embassy.

The requirements tied to the specific activity being registered.

Embassy authentication is a process of its own, and it is the step that most often moves the start date. Prepare documents in parallel with settling the activity.

Official processing times

MISA states an application review period of up to 10 days.

Establishing a company under an investment licence through the Saudi Business Center: within 72 hours.

These are the times for the procedures themselves. They exclude embassy authentication, translation, opening a bank account and residency — so a project calendar is always longer than the sum of the official timings.

Government fees for incorporation

The Ministry of Commerce publishes the fees for establishing a company under an investment licence: joint-stock company 1,600 SAR, limited liability company 1,200 SAR, partnerships 1,000 SAR, publication 500 SAR, plus 15 percent VAT.

These are the fees for one specific service, not the full cost of entry. The MISA licence, activity-specific services, residency and the work of the executing parties are separate.

Government fees are paid directly to the state. We neither set them nor mark them up; we evidence them with documents.

What comes after registration

Commercial registration and the articles of association through the Saudi Business Center.

Tax registration. VAT in the Kingdom is 15 percent.

Employer registration in the labour and social insurance systems, and electronic documentation of employment contracts through the Qiwa platform, as required by the Ministry of Human Resources.

Compliance with the workforce localisation programme (Nitaqat). Requirements depend on sector and company size and must be modelled against your actual headcount plan.

Opening a corporate bank account. This is a bank decision following compliance review, not a government one.

Where the process usually stalls

The wrong activity chosen at the start. Changing it is neither free nor instant, and it drags the licence, partner requirements and tax treatment along with it.

Documents that have not passed embassy authentication, or statements covering the wrong period.

Banking compliance: questions on source of funds, ownership structure and real presence in the Kingdom.

No actual presence — address, premises, staff. A company that exists only on paper raises questions with banks and clients alike.

Underestimated workforce localisation, discovered only after hiring has started.

FAQ

Can a company in Saudi Arabia be registered remotely?

Part of the procedure runs electronically through the Saudi Business Center, but embassy authentication, banking procedures and residency may require personal attendance. The exact set depends on the activity and company structure.

Is a Saudi partner required?

For a professional licence, yes: the Ministry of Investment terms set a minimum of 25 percent Saudi participation. The same applies to the category covering management of construction projects, detailed engineering design and EPC contracts. Other licence categories differ, so the check must be run against your specific activity rather than the general principle.

Can a company in Saudi Arabia be fully foreign-owned?

The Saudi participation requirement attaches to particular licence categories, not to every foreign investor. The conditions follow from the declared activity and from the applicant profile: an individual and a company with a documented track record go through different sets of requirements. So the answer is not a general rule but a review of your own case before filing — which route is open to you is something we go through in the consultation.

Does registering a company guarantee a bank account?

No. Opening an account is a bank decision following a compliance review, not a consequence of registration. Good preparation lowers the risk of refusal but does not remove it.

What does the full setup cost?

It depends on the activity, company form, partner structure and the state of your documents. The official incorporation fees published by the Ministry of Commerce are listed above; everything else is calculated for the specific case.

What is Nitaqat and does it apply to a new company?

It is the workforce localisation programme of the Ministry of Human Resources. Requirements depend on sector and company size, so headcount should be planned alongside registration rather than after it.

Are premises in Saudi Arabia mandatory?

Actual presence — address, premises, staff — affects both banking compliance and how clients read the company. Specific requirements depend on the activity.
